Pop-Up Shop Agreement

This Pop-Up Shop Agreement ("Agreement") is made and entered into by and between:

  • The Busy Bee Printery LLC ("The Busy Bee Printery"), a printing business specializing in custom apparel and promotional products, and
  • [Organization Name] ("Organization"), located at [Organization Address].

Together, the parties agree to the following terms for running a custom pop-up shop:

1. Purpose of Agreement

The purpose of this Agreement is to establish the terms and conditions under which The Busy Bee Printery will create and manage a pop-up shop for the Organization, offering custom-printed merchandise for sale to its supporters.

2. Pop-Up Shop Terms

  • The Organization will select the products to be included in the pop-up shop.
  • The Organization is responsible for providing high-resolution logos or artwork to be used on the products.
  • The Busy Bee Printery will create mock-up images and a dedicated online storefront for the Organization.
  • Once mock-up images are posted, any request to change the logo will incur an additional fee.

3. Sales & Profit Distribution

  • The Organization will receive 20% of the total sales revenue from the pop-up shop.
  • Payments will be made within 12 hours after the ordering window closes.
  • Payment methods include PayPal, check, or Venmo.
  • If the Organization incurs any artwork fees, they may be deducted from their total profit payout.
  • Upon request, The Busy Bee Printery can provide a report detailing the net sales and financial summary of the pop-up shop.

4. Payment & Tax Responsibility

  • The Busy Bee Printery will collect all payments from customers at checkout.
  • Sales tax will be collected and remitted by The Busy Bee Printery in accordance with Connecticut state law.
  • If an Organization is tax-exempt, but its customers are not, sales through the pop-up shop will still be subject to sales tax.
  • Organizations must provide a valid Connecticut Sales Tax Exemption Certificate if applicable.

5. Order Processing & Fulfillment

  • Orders will be processed and produced within 12-14 business days after the ordering window closes.
  • No rush orders will be available.
  • All sales are final unless there is a defect or an error in printing.
  • The Organization is responsible for promoting the pop-up shop to its audience.

6. Shipping & Pickup

  • Customers may choose shipping or local pickup.
  • Shipping will be handled via USPS or UPS, with delivery times depending on the carrier.
  • Local pickup will be available at The Busy Bee Printery's order pickup shed or a designated location provided by the Organization.

7. Artwork & Design Policies

  • If an Organization requests artwork creation or modifications, design services are available for $25-$50, depending on complexity.
  • The Organization will receive at least three design options before finalizing the artwork.
  • If the Organization provides its own artwork, it must be high-resolution (PNG, SVG, AI, EPS, or PDF).
  • The Busy Bee Printery is not responsible for poor print quality due to low-resolution artwork.

8. Customer-Provided Product Blanks

  • If the Organization provides product blanks for printing, they acknowledge the risk of potential damage during production.
  • The Busy Bee Printery LLC is not responsible for replacing or reimbursing any customer-supplied items that are damaged due to human error, misprints, or equipment malfunctions.

9. Marketing & Promotion

  • The Organization agrees to actively promote the pop-up shop through email, social media, or printed flyers.
  • The Busy Bee Printery may use images of printed products for marketing and promotional purposes.
  • The Organization may use The Busy Bee Printery's branding and promotional materials.

10. Liability & Indemnification

  • The Organization is responsible for ensuring compliance with all state and federal regulations related to fundraising and tax reporting.
  • If the Organization is required to be registered with the Connecticut Department of Consumer Protection (DCP), it is their responsibility to complete and maintain that registration.
  • The Busy Bee Printery LLC is not liable for any failure on the part of the Organization to meet state or federal legal requirements.
  • Organizations should consult a tax professional to determine how their profit payout should be reported for tax purposes.
  • The Organization agrees to indemnify and hold harmless The Busy Bee Printery LLC from any claims, damages, or expenses arising from:
    • Use of copyrighted or trademarked materials without authorization.
    • Misuse of products or failure to adhere to provided product care instructions.
    • Any claims related to the misrepresentation of funds raised through pop-up shop sales.

11. Agreement to Terms

By signing this Agreement, both parties acknowledge that they have read, understand, and agree to the terms outlined above.
